History[edit]

Overview

DexKo Global Inc. was formed in 2015 through the combination of two industry leading businesses, Dexter Axle Company, with operations in North America and AL-KO Vehicle Technology, with operations in Europe, Australia and several other countries outside North America. The combined company has a long history as a manufacturer of innovative engineered components and systems for towable and related applications.

Dexter Axle was founded in Elkhart, Indiana by Leonard Dexter in 1960. The product offering was initially limited to manufactured housing and RV axles, but over time, Dexter Axle expanded its portfolio. Dexter Axle underwent a number of ownership changes: it was acquired by Philips Industries, Inc. in 1966, which was later acquired by Tomkins plc, a broad, industrial conglomerate in 1990, and was sold to private equity investment firm The Sterling Group L.P. in 2012.

AL-KO was founded in Kötz, Germany in 1931 by Alois Kober and grew to become the leading European designer and manufacturer of trailer axles, trailer components, chassis and motorized chassis. In 1988, AL-KO expanded into Australia through the acquisition of Girlock Caravan and Trailer parts.

The company and its predecessors have made 19 acquisitions since 2013, which are summarized below.

2013 – 2015

In 2013, Dexter Axle acquired Unique Functional Products, a U.S. manufacturer of marine trailer assemblies, brakes, brake actuators and enhanced bearing systems. In 2014, Dexter Axle acquired the North American assets of AL-KO Axis. In 2015, it acquired Titan International’s Brake and Actuator business, a manufacturer of an extensive line of brakes, actuators, couplers and hubs designed for a wide variety of trailer applications. This strategic series of acquisitions culminated in the formation of DexKo Global Inc. through the acquisition by Dexter Axle of AL-KO Vehicle Technology in December 2015.

2016

Following the formation of the company in 2015, it completed four strategic acquisitions in 2016. It acquired Winterhoff, a leading manufacturer of safety components, including couplings and jockey wheels, for the European trailer and caravan industry as well as Rockwell American, a leading manufacturer and distributor of trailer axles for the North American market. Later in 2016, it acquired Melbourne Trailer and Caravan Supplies, a supplier of caravan and trailer axles, leaf springs and other trailer components serving multiple Australian end-use segments. Finally, it acquired Ingersoll Axles, IMT Group’s specialized heavy duty axle and suspension business and Standen’s light and medium duty axle and suspension system business, giving the company a meaningful Canadian presence.

2017

In 2017, the company acquire three additional businesses that complemented its product offering and strengthened its global position including Tie Down Engineering Inc.’s axle, brake and actuation business assets in North America; BPW Fahrzeugtechnik, a European manufacturer of axles, chassis assemblies and other trailer components for light duty, caravan and motorhome applications; and Henderson Wheel & Trailer Supply Inc., a North American manufacturer of sprung/torsion axles and fenders. In addition, the company was acquired by private equity investment firm KPS Capital Partners, LP in July 2017. DexKo Global has continued to make strategic acquisitions to broaden its portfolio offering and geographic footprint, with nine additional acquisitions completed since 2017.

2018 – 2019

In January 2018, the company acquired Kodiak, a manufacturer of light and medium duty axle brakes for North American marine, RV, horse, commercial, industrial, cargo and military end-use segments, and E&P Hydraulics, a European provider of professional support system solutions for caravans, motorhomes and light commercial vehicles. In June 2018, it acquired G&S/Hume, an Australian manufacturer of chassis for caravans, mobile homes and other structures as well as other caravan accessories. In July 2018, the company acquired CM Trailer Components, a New Zealand trailer components and assembly company selling primarily to the aftermarket. In August 2018, it made a minority investment in VB-Airsuspension, B.V., a leading European air suspension company. In September 2018, the company acquired CBE Group, an Italian electronic systems solutions company providing electric components and wire harnesses for the RV/motorhome industry. In 2019, the company acquired Bankside Patterson, a leading manufacturer of mobile home chassis in the U.K., and Preston Chassis Industries, a manufacturer of chassis and parts for the Australian caravan industry.
