'''Encavis AG''' is a listed company based in Hamburg, Germany, which operates solar parks and onshore wind farms in twelve European countries as an independent power producer. The systems for sustainable energy generation generate income through guaranteed feed-in tariffs (FIT) or long-term power purchase agreements (PPA). The total generation capacity of the Encavis Group is around 3.5 gigawatts (GW) (as of June 2023).[1]

History[edit]

Encavis AG was formed in 2001 as Capital Stage AG through the contribution of the holdings of Futura Capitalis AG to HWAG Hanseatisches Wertpapierhandelshaus AG, which has been listed on the stock exchange since 1998. The company started out as a private equity firm and held stakes in solar companies. In the years that followed, the company turned into an investor and operator of (open space) solar parks and (onshore) wind turbines.

On May 30, 2016, Capital Stage AG announced that it would submit a takeover bid for its competitor Chorus Clean Energy AG. The takeover offer was structured purely as a share swap and ended on October 5, 2016. During the official acceptance period, Chorus shareholders could register three Chorus shares in exchange for five Capital Stage shares. Overall, the exchange offer was accepted by shareholders representing 94.42% of the share capital of Chorus Clean Energy AG. Capital Stage AG thus owns 94.42 percent of Chorus Clean Energy AG. On March 8, 2017, Capital Stage announced that it had acquired additional shares in Chorus Clean Energy AG and owned more than 95% of the share capital of Chorus Clean Energy AG. At the same time, Capital Stage initiated a squeeze-out process. On June 22, 2017, the annual general meeting of Chorus Clean Energy AG approved Capital Stage AG's squeeze-out request with more than 99 percent of the share capital represented.

In February 2018, Capital Stage AG changed its name to Encavis AG.[2] According to its own information, Encavis AG is one of the leading independent operators of solar and wind park in Europe with a total capacity of more than 3 gigawatts.[1] Within the Encavis Group, Encavis Asset Management AG offers fund services to institutional investors.

At the end of October 2022, Encavis AG acquired the majority of the shares in Stern Energy S.p.A. headquartered in Parma, Italy.[3] The company is a specialist provider of technical services for the Europe-wide construction, operation, maintenance, revamping and repowering of photovoltaic installations.[4]

According to the company, as of March 2023 it operated more than 200 solar parks and more than 90 wind farms with a capacity of more than 3 GW in Germany, Denmark, Finland, France, Great Britain, Ireland, Italy, Lithuania, the Netherlands, Sweden, Spain and Austria.[3]
