Early Life[edit]

Juan Monteverde is a securities attorney who focuses his career on advocating for shareholder rights. Through his work with his law firm, Monteverde & Associates, he handles high-profile merger cases where he seeks to maximize shareholder value and recover damages. In the process of handling these cases, he has also regularly been able to improve the process of the merger transactions themselves.

The attorney received his BS in Finance from California State University, Northridge before attending law school at St. Thomas University. During his time studying law, the future attorney supplemented his education with numerous extracurricular activities, including serving as a staff editor for the Law Review and as President for the school’s official newspaper, Plead the 5th.

Concurrent with his studies, he also worked as an associate at Diaz Reus, LLP. His work at the well-known firm helped introduce him to a range of concentrations in the field of law including high-profile commercial disputes and government investigations. The experience enabled the young attorney to work with both U.S.-based and global clients, including Fortune 500 companies, government entities, and financial institutions.

After his time in law school, the attorney worked at a number of other firms where he gained experience in civil litigation, representing victims of securities fraud, and class action litigation. During this time, he also headed teams of attorneys and administrative staff to help guide organizational strategy.

Juan Monteverde has long been recognized as a preeminent attorney in the New York City area and is regularly listed near the top of his field by organizations such as Super Lawyers and Martindale-Hubbell. He also shares his professional opinions on executive compensation and merger litigation through published articles and by speaking at legal conferences such as ABA and PLI.

Mr. Monteverde has concentrated his legal career advocating shareholder rights. Mr. Monteverde regularly handles high profile merger cases seeking to maximize shareholder value and has recovered damages and improved merger transactions in the process.

Mr. Monteverde has also broken new ground when it comes to challenging proxies related to compensation issues post Dodd-Frank Act for not providing accurate disclosure required for shareholders to cast informed votes. Knee v. Brocade Comm’ns Sys., Inc., No. 1-12-CV-220249, slip op. at 2 (Cal. Super. Ct. Santa Clara Cnty. Apr. 10, 2012) (Kleinberg, J.) (enjoining the 2012 shareholder vote because certain information relating to projected executive compensation (as related to an equity plan share increase that had a potential dilutive effect on shareholders) was not properly disclosed in the proxy statement).

Mr. Monteverde has written articles regarding executive compensation and also speaks regularly at ABA, PLI, ACI and other conferences regarding merger litigation or executive compensation issues.

Mr. Monteverde has been selected by Super Lawyers in 2013 and 2017-2019 as a New York Metro Rising Star in Securities Litigation, an award given to less than 2.5% of attorneys in a particular field. Mr. Monteverde has also been selected by Martindale-Hubbell in 2017-2019 as a Top Rated Lawyer.
