Mark Schaub is a lawyer and author who specialises in foreign investment, corporate transactions and joint ventures involving China. He moved to Shanghai in 1993 and in 2000 became the first foreign lawyer to join the Chinese law firm King & Wood, now King & Wood Mallesons.[1][2] His books include China: The Art of Law, Foreign Investment in China: Entry, Operation and Exit Strategy, and, with Alan MacCharles, Unlocking International Joint Ventures.[3][4][5]
Career
Schaub worked in the Shanghai offices of German and American law firms before joining King & Wood in 2000, becoming the firm's first foreign partner.[6][7][2] Reuters subsequently identified Schaub as an attorney with King & Wood in a 2012 report on Chinese law firms.[8] A 2009 profile in Asian Legal Business examined his experience as a foreign lawyer working within a Chinese firm and his writing about foreign investment in China.[1]
His practice has focused on foreign direct investment, cross-border mergers and acquisitions, intellectual property, private equity and corporate restructuring in China.[2] In 2021, The Korea Times cited Schaub and Atticus Zhao as lawyers specialising in the automotive industry in reporting on China's regulation of vehicle data, quoting Schaub on privacy, cross-border data transfers and the sensitivity of geospatial information.[9]
He lived in Shanghai until 2018, when he moved to London while continuing to work on China-related matters.[10] In an interview published by the Cheung Kong Graduate School of Business in 2022, Schaub discussed intellectual-property protection, market access and dispute resolution for foreign technology companies operating in China.[10]
Writing
Schaub's first book, China: The Art of Law: Chronicling Deals, Disasters, Greed, Stupidity and Occasional Success in the New China, was first published by CCH Hong Kong in 2006. It uses practical examples to discuss the establishment, operation, risk management and restructuring of foreign-invested enterprises in China.[6][3]
China Daily described the book as "lively, entertaining and informative" and noted its practical advice and use of real-life examples.[3] Shanghai Securities News characterised it as a vivid and comprehensive guide for overseas businesses investing in mainland China.[6] The book was also reviewed by Gordon G. Chang in the May 2007 issue of the Far Eastern Economic Review.[11][12] In 2014, the business-verification service China Checkup included it in a list of ten recommended books about doing business in China; the list's author said the book helped him understand the process and pitfalls when establishing his own business.[13]
In 2009, CCH Hong Kong published Schaub's Foreign Investment in China: Entry, Operation and Exit Strategy, a legal guide to Chinese domestic and foreign-invested business structures.[4]
In 2022, Schaub co-authored A Note on International Joint Venture Advisory Roles with Alan MacCharles and Paul W. Beamish. Published by Ivey Publishing and distributed by Harvard Business Publishing, the work considers the selection and use of legal, commercial and academic advisers in international joint ventures.[14]
Schaub and MacCharles later wrote Unlocking International Joint Ventures: Keys to Formation Success through Cultural, Commercial, and Legal Decision-Making, published by Wiley in November 2024. The book covers partner selection, negotiation, governance, legal structuring and the termination of international joint ventures.[5]
