Boudicca Proxy Ltd. trading as Boudicca Proxy Consultants, is a proxy solicitation company incorporated in England and Wales. The company was founded by Sheryl Cuisia in November 2011.[1] The company is headquartered in London[2]
The company work on cases involving shareholder votes, such as annual general meetings (AGMs),[3] extraordinary general meetings(EGMs), requisitioned shareholders' meetings and mergers and acquisitions (M&A). They represent both corporate investors (mainly listed on the London Stock Exchange) and activist investors.[4]
Cases they have worked on include the 2012 merger of Xstrata and Glencore, working with coal mining company Bumi Resources in its competition with financier Nat Rothschild,[4][5] and the Elliott Advisors campaign at Alliance Trust.[6][7]
Boudicca Proxy Consultants has worked on behalf off major companies like GKN in recent takeovers[8].
The company was founded by Canadian Sheryl Cuisia who has an advanced Diploma in Data and Systems Analysis from Oxford University[9]. Before founding Boudicca Consultants, Sheryl worked for New York-based hedge fund and activist investors Elliot Advisors[10], who have since commissioned the shareholder advisory firm for projects including the Akzo takeover of PPG and the board change for Alliance Trust[11].
