Aedifica is a Belgian listed Regulated Real Estate Company (RREC) founded in 2005. The Group is listed on Euronext Brussels since 2006 and on Euronext Amsterdam since 2019.[2][3] The company is a member of the BEL20 index since 2020[4] and a member of the BEL ESG index since the launch of the index in March 2023.[5]
Aedifica operates in 8 European countries: Belgium (2005), Germany (2013), the Netherlands (2016), the United Kingdom (2019[6]), Finland and Sweden (2020[7]), Ireland (2021[8]) and Spain (2021[9]). The group is specialised in renting out real estate to healthcare operators. Its portfolio mainly consists of nursing and care homes for the elderly, but also includes day-care centres for children and revalidation centres.
For the 2022 financial year, Aedifica reported a real estate portfolio of 622 buildings with a fair value of €5,519 million generating more than €273 million in rental income.[10]
Takeover of Hoivatilat Oy
In November 2019, Aedifica launched a public tender offer for all shares in Hoivatilat, a listed Finnish healthcare real estate developer and investor.[11][12] The bid was backed by Hoivatilat's management and Board of Directors.[13] After some major shareholders publicly announced that they would not accept the offer[14], Aedifica increased its takeover bid[15], after which the offer was eventually accepted by these major shareholders. In early January 2020, Aedifica held about 95.9% of the shares, after which a squeeze-out bid for the remaining shares was launched and Hoivatilat was delisted from the Finnish stock exchange.[16]
Following the completion of the takeover, Aedifica was awarded an M&A award for "Best Large-Cap Corporate Deal". In its award rationale, the jury higlighted the company's "intelligent expansion" and the strategic importance of the deal.[17]
