Kostruba Anatoliy (November 7, 1978, Simferopol, Crimea, Ukraine) is a Ukrainian scientist and specialist in Civil law. Doctor of Laws (2015), Professor (2019). Since 2015 professor of Vasyl Stefanyk Precarpathian National University..[1]. Professor of Vilnius University (2022).

He was born in 1978 in the city of Simferopol (Ukraine).

After graduating from the VI Vernadsky Tavriya National University (2000) he studied at the post-graduate school of the Yaroslav Mudryi National Law University. Candidate of Law (2004)[1].

From 2003 to 2014 - Assistant, Senior Lecturer, Associate Professor of Civil and Labor Law VI Vernadsky Tavriya National University. Associate Professor (2009).

From 2014 to 2019 he was a senior researcher at the Academician F. H. Burchak Scientific-Research Institute of Private Law and Entrepreneurship of National Academy of Law Sciences of Ukraine (Kyiv). Doctor of Laws (2015).

Since 2015 he has been a professor at the Department of Civil Law of the Vasyl Stefanyk Precarpathian National University (Ivano-Frankivsk). Professor (2019).

Provides teaching at the University of Civil Law "Ukraine" for students 2 - 3 courses, "Personal Intangible Rights" for masters of the 1st year specialization "Private Law", "Current issues of intellectual property law" for graduates of higher education "Doctor of Philosophy" "(PhD)," Private Law "(in English) for 3rd year students majoring in "International and European Law"[1].

Research activities[edit]

Bills of landing theory[edit]

The topic of the candidate's dissertation "Bill of Lading as a security"[2]. The thesis was defended in 2004 in the Specialized Academic Council of the Yaroslav Mudryi National Law University (Kharkiv) .

The scientific significance of the scientist's work is that for the first time they are considered a bill of lading from the standpoint of securities theory. In the dissertation the legal characteristic of the bill of lading in the civil doctrine is given, the concept of the bill of lading is resulted, the list of its requisites is revised and improved, the classification of types of the bill of lading is offered. Particular attention is paid to the study of the legal significance of reservations in the bill of lading[3].

Prof. Kostruba Anatoliy is the founder of the theory of the bill of lading as a security in contrast to the prevailing in the USSR the theory of contract.

Significant attention is paid to the problem of civil law regulation of relations related to the circulation of the bill of lading. The issue of the mechanism of issue, placement and redemption of a bill of lading as a security is considered in detail, its functional purpose in civil turnover is determined[4].

Theory of terminating legal facts[edit]

The topic of the doctoral dissertation "Legal facts in the mechanism of termination of civil property relations"[5]. The thesis was defended in 2015 in the Specialized Academic Council of Academician F. H. Burchak Scientific-Research Institute of Private Law and Entrepreneurship of National Academy of Law Sciences of Ukraine (Kyiv).

The researcher's research is devoted to solving the problem of determining the mechanism of termination of civil property relations, establishing its elements, the importance of each of them in the termination of subjective civil rights and legal obligations or civil relations in general, as well as establishing the features of suspending legal facts[6].

The scientific significance of the research is that scientists have for the first time defined the concept of terminating legal facts as a result of specific circumstances of reality (factual and legal), the legal model of which is associated with the consequences in the form of termination of subjective civil rights, legal obligations. as well as civil relations in general[7].

The distinction between the legal and factual side of the legal fact, as well as its consequences in the mechanism of termination of civil property relations demonstrates the impact of law on public relations and determines the interaction of legal (ideal) and factual (material) components in legal regulation of public relations.

Prof. Kostruba firstly formulated general and special features of terminating legal facts[8].

Common features of terminating legal facts are specificity, objectivity, individuality, spatial and temporal certainty, normative formality, informativeness and consistency[9].

The special ones include: termination nature, regressivity of information, combination of legal consequences.

It is substantiated that terminating legal facts can be considered as relative, depending on the phenomena they terminate. As a rule, legal facts are considered in the aspect of termination of rights and legal relations, but they can also terminate legal obligations. In cases when legal facts terminate certain powers of subjective civil rights of participants in legal relations, in relation to these powers they act as terminating, but, depending on the legal consequences they lead to, in relation to other powers as part of subjective civil rights , subjective civil rights in general, legal obligations or legal relations, they can be both legal and law-making.

The research of the scientist in this field is the development of the theory of legal facts (Krasavchikov O. 1958), specifying the role and significance of certain types of legal facts in the mechanism of legal regulation of civil property relations.

Professor Kostruba significantly developed the views of prof. Alekseev on the mechanism of legal regulation of social relations (1966). The merit of the scientist is to consider a separate type of mechanism of legal regulation - the mechanism of termination of civil property relations as a normal procedure for termination of subjective civil rights (individual powers), legal obligations or civil relations in general, based on terminating legal facts[10].

Scientist has determined the place of termination in the legal regulation of civil property relations. The fact of implementation of the program provided by the law is the moment of completion of the right - its termination as a way to achieve the expected legal result. Termination in this context is the final stage of law enforcement.

The impossibility of achieving the goal of legal regulation due to the defect of legal facts in the stage of law enforcement leads to a change in its structure, the emergence of a new stage of legal regulation of civil property relations - the stage of termination. At this stage, the legal model of behavior of legal entities is adjusted to the actual consequences that take place, in order to streamline the elements of levels in the system due to internal and external factors influencing it. In this way the structural defect of the nonlinear dynamical system is compensated.

Each stage of legal regulation is provided by the corresponding legal mechanism. In particular, the mechanism of termination of civil property relations provides legal regulation in the stage of termination and is a structural component of the mechanism of law enforcement at the stage of termination in the relevant stage of legal regulation.

In the development of Alekseev's doctrine on the mechanism of legal regulation of social relations professor Kostruba adjusts the stable structure of the relevant legal means. According to the scientist, the regulatory regulator is not the only means of influencing the subject's assessment of the possibility of their own actions in the social environment. This is consolidated in the field of relations devoid of state imperative coercion.

In the field of private law, the legal registration of social relations between persons has a limited regulatory framework. In this case, causal legal regulation is predominant. This can not but affect the specifics of the formation of the mechanism of legal regulation of civil relations[11].

That is, civil legal regulation of public relations is achieved with the help of other regulators, which have a common nature with the rule of law, but with the subjective limitation of its binding nature[12].

The above gives grounds to assert that along with the legal norm, the legal means of ensuring the mechanism of legal regulation of public relations are alter-normative regulators (contract, custom).

However, the above forms of regulatory influence on public relations do not exhaust their legal regulation. Along with normative and alter-normative regulators, one should distinguish over-normative (principles of law) and quasi-normative (judicial acts). The essence of the quasi-normative regulator is to replace the normative, giving it the quality of a legal norm. In this case, in contrast to the alter-normative, the nature of the quasi-normative regulator is characterized by the lack of counter-expression of the parties on its content and scope. The use of quasi-normative regulator as a legal means of regulating legal relations is the result of a defect in the normative regulation of public relations. In the legal fact, there is no normative basis, which prevents the emergence of legal relations between their participants.

Convalidation of the defect of the normative regulator model is realized by forming the legal illusion of the necessary norm. Its illusory nature is manifested in the specifics of its creation, the nature of the obligation. In the absence of real, such a rule is formed by the court in a judicial act, the effect of which extends to a certain group of persons. Thus, with the help of the quasi-normative regulator, the law is completed.

Since the legal norm does not exhaust the regulatory impact on public relations, the relevant element of the mechanism of legal regulation requires its structural adjustment. Anatoliy Kostruba substantiates that terminologically, an element of the mechanism of legal regulation of social relations is not a legal norm, but a set of legal constructions identical to the legal norm - a legal regulator, which includes, as noted, normative regulator, over-regulatory, alter-regulatory regulator, quasi-regulatory regulator.

According to the scientist, the terminating legal facts in the mechanism of termination of civil property relations determine its dynamics. Being a chain of legal facts with direct and indirect causal relationship, each of them is a consequence of one legal fact and at the same time the basis of another.

Scientist has proved that the mechanism of termination is an integral part of the stage of termination in the stage of implementation, in which, with the help of terminating legal facts, provides regulatory impact of law on public relations. Such right-terminating legal facts in property and contract law are: alienation of property, proper performance of obligations, privatization of property, waiver of property rights, debt forgiveness, set-off of homogeneous claims, combining debtor and creditor in one person, termination of obligations by agreement of the parties, expiration of the term, transfer of resignation and others[5].

In the stage of termination, with the help of relevant suspending legal facts there is a compensatory effect of the mechanism of termination of civil property relations (destruction of property, foreclosure, confiscation, redemption of historical and cultural monuments, redemption of land for reasons of public necessity, requisition, nationalization, termination of ownership of property that by law cannot belong to a person, inability to fulfill obligations, novation, termination of obligations at the request of a party, death of an individual, liquidation of a legal entity and others).

A scientific analysis of the grounds and procedure for termination of property relations, as well as the grounds for termination of civil obligations in the context of their functional purpose in the mechanism of termination of civil property relations.

Theory of legal entity[edit]

Among the achievements of the scientist can also include the development of an integrative theory of legal entity, based on a critique of the theory of fiction by Savigny (1876).

It is well known that a legal entity in private law is a fiction of an individual as a subject of law, which is created by artificial concentration of rights and responsibilities in order to satisfy the interests of its founder. These provisions are enshrined in the theory of fiction Savigny[13].

The construction of a legal entity is based on the concept of limited civil liability of its participant for the results of economic activity of the latter. This theoretical position is enshrined in the current legislation of Ukraine and many European countries. However, today we can see the need for a positive deformation of this concept. Due to the categories of independent legal responsibility and autonomy of participation in civil turnover, a legal entity becomes a means of achieving illegal goals.

The legal personality of the legal entity of the corporation is embodied in the activities of its governing bodies. However, in the process of interaction of its governing bodies with other persons to ensure the activities of the legal entity, there may be situations where the participants of such interaction pursue multi-vector or mutually exclusive goals[14].

Absolute legal personality autonomy of a legal entity from a person objectively leads to abuse, because the conditionality of the legal consequences of the legal entity from the subjective actions of an individual behind its "veil" is indisputable. Compensatory for such autonomy is the expansion of the legal responsibility of individuals for the results of the legal entity, as well as a fragmentary narrowing of the autonomy of its participation in civil turnover, in particular, in terms of protection of their subjective civil rights. In this case, according to the scientist, we should talk about the possibility of property claims in favor of a legal entity. In the procedural doctrine of the Anglo-Saxon legal system, such a construction is called an indirect claim. Abuse of governing bodies of a legal entity leads to the need to resolve issues of their responsibility[15].

On the other hand, the management of a legal entity allows its member to influence the formation of the will of the corporation. Abuse of such a participant's right, using the autonomy of civil liability and property separation of the legal entity, imposes on him responsibility for its obligations. In the states of the Common law legal system, such a phenomenon has become widespread and is revealed in the doctrine of "piercing the corporate veil"[16].

In these circumstances, according to the scientist, we must recognize the loss of "purity" Personificationstheorie Savigny. The fiction of a legal entity acquires signs of realism, which are interpolated from the person's interest in it, as well as the interest in the person behind such fiction. Active behavior of third parties in relation to the activities of a legal entity in civil turnover, the possibility of identifying their legal interest with the interest of a legal entity, while separating the will of a legal entity from the will of persons influencing it is evidence of the existence of a legal entity.

Professor Kostruba substantiates the position that today the construction of a legal entity is revealed not only in the context of the theory of fiction Savigny, but also integrates the main provisions of the theory of interest Ehring, who believed that the rights and responsibilities of a legal entity in fact, they belong to those real individuals who actually use the common property and benefit from it. Thus, defining the modern view of the nature of legal entity, scientists synthesized the provisions of the theory of fiction Savigny with the position of the essence of human substrate in the legal entity, which are deployed in the theory of interest Ehring and obtained a qualitatively new theoretical approach. .

At this time, in the framework of his "Integrative Theory of Legal Entity" is studying the problems of corporate governance.

Professional career[edit]

Began his career in 1998 as a lawyer of a Joint-stock company (Simferopol)[1].

Has worked as a legal adviser to the staff of the Executive Committee of the District Council of Simferopol (2003-2005)[1].

In 2002 he was elected a deputy of the District Council of Simferopol of the XXIV convocation. Chairman of the Standing Committee on Mandates, on issues of deputy ethics and activities, law and order[1].

Since 2003 he has been a researcher and pedagogue at the Tavriya National University named after VI Vernadsky[1].

Since 2005 he has been engaged in private legal practice. Lawyer (2007). is a member of the Ukrainain National Bar Association . He is a member of the Committee on Investment and Privatization, which operates within the structure of UNBA[17]. From 2005 has headed the law firm "Primus inter pares" (Kyiv).

Since 2015 he has been a professor at the Department of Civil Law of the Vasyl Stefanyk Precarpathian National University (Ivano-Frankivsk)[1].

Since 2019 he has been a member of the Sectoral Expert Council (08 "Law") of the National Agency for Quality Assurance in Higher Education (protocol No. 9 of August 29, 2019)[18].

For two years he was a member of the Scientific Advisory Board at the Supreme Court (Resolution of the Plenum of the Supreme Court of March 30, 2018 No. 3)[19]. Awarded with the gratitude of the President of the Supreme Court (order of June 19, 2019 No. 1662-K)[20].

From 2019 - 2023 was a member of the Scientific Advisory Board of the Constitutional Court of Ukraine (Judgment of the Constitutional Court of Ukraine of April 9, 2019 No. 12-n / 2019)[21].

He is a member of the editorial board of a number of Ukrainian and International professional periodicals, including those indexed in the international scientometric database Scopus.
