Tips Films is an Indian film production company headquartered in Mumbai. The company was demerged from its parent company Tips Industries Limited.[1] The demerger was officially approved by the Hon'ble NCLT, Mumbai, through their Order dated March 3, 2022. [2]
Background and Demerger[edit]
Tips Industries Limited, a listed Indian company, before demerger was actively involved in producing, distributing, and acquiring motion pictures through its Film Division, along with acquiring and monetizing music rights through its Music Division. [3] As part of a strategic move, Tips Industries Limited in its regulatory filings with the stock exchanges, proposed demerging its Film Division and establishing it as a separate publicly listed company. [4] As per the regulatory filing, the rationale behind the proposed demerger was to enable focused management for each undertaking, streamline business processes and maximize shareholder value. The equity shares of Tips Films Limited were listed on BSE Limited & National Stock Exchange of India Limited on October 6, 2022.

- 05 Jan 2021 - The board of directors of Tips Industries Limited in-principally agreed to explore demerger of film business of Tips Industries Limited into separate entity.[5]
- 10 May, 2021 - The Board of Directors of Tips Industries Limited discussed and approved a proposed plan for reorganization and separation between Tips Industries Limited (referred to as "TIL" or the "Demerged Company") and Tips Films Limited (referred to as "TFL" or the "Resulting Company"), along with their respective shareholders.[6]
- 22 Sep, 2021 - The court directed the convening of a meeting of equity shareholders to consider and approve the scheme.[7]
- 02 Dec, 2021 - The meeting of equity shareholders of Tips Industries Limited was held to consider and approve the demerger[8]
- 03 Dec, 2021 - Tips Industries Limited in a corporate announcement announced the approval of a demerger by its equity shareholders[9]
- 03 Mar, 2022 - The National Company Law Tribunal, Mumbai Bench, sanctioned the scheme of arrangement for the demerger of the Film Division of Tips Industries Limited.[10]
